Please read these disclosures carefully. They apply to all information published on this website, in any FLIHI investor materials, and in any communications between FLIHI, Inc. (“FLIHI“) and you.

1. No Offer of Securities

The information on this website is provided for general informational purposes only and does not constitute an offer to sell, or a solicitation of an offer to buy, any security in any jurisdiction. Any offering of securities by FLIHI, if and when made, will be conducted as a private placement pursuant to Rule 506(c) of Regulation D under the Securities Act of 1933, as amended (the “Securities Act“), and applicable state securities laws, and will be made only to qualified accredited investors through definitive offering documents (including a private placement memorandum, subscription agreement, and related materials) provided directly by FLIHI.

The securities will be “restricted securities” as that term is defined in Rule 144 under the Securities Act.

2. Accredited Investors Only

Participation in any potential FLIHI offering will be limited to “accredited investors” as defined in Rule 501(a) of Regulation D. Because any FLIHI offering will be conducted under Rule 506(c), FLIHI will be required to take reasonable steps to verify each investor’s accredited status, which may include reviewing tax returns, brokerage statements, professional licensure information, or letters from a registered broker-dealer, investment adviser, licensed attorney, or certified public accountant, or by using a third-party verification service. Self-certification alone is not sufficient.

FLIHI reserves the right to reject any prospective investor for any reason or no reason, in its sole discretion.

3. High-Risk Investment

Investments in early-stage private companies — including any potential FLIHI offering — involve a high degree of risk, including the risk of loss of some or all invested capital. Prospective investors should be able to bear the loss of their entire investment.

Risks include, without limitation, the following:

Pre-revenue and pre-operating stage. FLIHI is an early-stage company with limited operating history. FLIHI has not yet generated revenue from its planned gTLD operations and may not do so for an extended period, if ever.

ICANN application risk. FLIHI’s business plan depends on a successful application to the Internet Corporation for Assigned Names and Numbers (“ICANN“) in the 2026 new generic top-level domain (“gTLD“) application round. There is no guarantee that FLIHI’s application will be filed on time, will be deemed complete, will pass evaluation, will prevail over competing applications, will result in delegation of the requested string, or will be made on commercially reasonable terms. ICANN’s processes are subject to change, delay, contention resolution, governmental advisory committee objections, and other factors outside FLIHI’s control. Application fees, evaluation fees, and other costs are substantial and generally non-refundable.

Contention and allocation risk. Multiple parties may apply for the same or similar strings. Contention sets may be resolved through private auction, ICANN-conducted auction, community priority evaluation, or other mechanisms. There is no guarantee that FLIHI will prevail in any contention process or that allocation outcomes will be favorable.

Regulatory and policy risk. ICANN policies, governmental regulation of the domain-name industry, and broader internet-governance frameworks may change in ways that adversely affect FLIHI’s business, including consensus policies, public-interest commitments, name-collision rules, rights-protection mechanisms, and similar requirements.

Market and competitive risk. The market for new gTLDs is competitive and uncertain. Many gTLDs from the 2012 round have underperformed expectations. There is no guarantee of registrant adoption, registrar distribution, retail pricing power, or sustainable margins.

Financing risk. FLIHI may require additional capital beyond any initial financing to fund operations through ICANN application, contention resolution, technical onboarding, marketing, and ongoing operations. Additional capital may not be available on acceptable terms, or at all, and dilution may be significant.

Illiquidity. Any securities offered by FLIHI will be illiquid, subject to substantial transfer restrictions, and have no public market. Investors may not be able to sell or otherwise transfer their investment for an extended period, if ever.

Concentration and dilution. Founders, key employees, and early investors may hold significant ownership and voting control. Future financings, stock plans, and conversions may result in significant dilution.

Operational and key-person risk. FLIHI is dependent on a small group of founders and advisors. The loss of any key person could materially impair FLIHI’s ability to execute its business plan.

Technology and cybersecurity risk. Domain-name operations rely on complex technical infrastructure (registry systems, DNS, EPP, DNSSEC, security operations) and are subject to cyberattacks, outages, and operational failures.

Litigation and IP risk. FLIHI may face trademark, intellectual property, or other litigation from third parties, including in connection with contested strings, rights-protection mechanisms, and consumer-facing claims.

Tax risk. Tax laws and regulations applicable to FLIHI and its investors may change. Investors should consult their own tax advisors.
